1. Acceptance of Terms
By creating an account on CA Practice or using our services, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, do not use our services.
If you are accepting these Terms on behalf of a firm or organisation, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to that entity.
2. Service Description
CA Practice is a cloud-based compliance management platform designed for Chartered Accountant firms in India. The service includes: automated compliance task generation, client document collection, reminders, deadline tracking, staff workload management, and reporting.
CA Practice is a workflow tool. It does not provide legal, tax, or financial advice. You are solely responsible for the accuracy of filings and compliance decisions made using the platform.
3. Eligibility
You must be a practicing Chartered Accountant, a registered CA firm, or a staff member authorised by such a firm to use this service. By registering, you confirm that you hold the necessary professional qualifications and registrations to operate a CA practice in India.
4. Account Registration
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials. One firm account per registration is permitted. The firm partner (account creator) is responsible for all staff accounts created under the firm.
You must notify us immediately at support@capractice.in if you suspect unauthorised access to your account.
5. User Responsibilities
You agree to:
- Provide accurate client data and keep it up to date
- Use strong passwords and protect your login credentials
- Ensure you have lawful authority to collect and process your clients' personal data (PAN, Aadhaar, bank details) before entering it into CA Practice
- Use the service only for lawful purposes
- Comply with all applicable laws, including the Income Tax Act, GST laws, and the Digital Personal Data Protection Act, 2023
6. Acceptable Use
You must not:
- Use the service for any illegal activity or to process data without lawful basis
- Attempt to reverse-engineer, decompile, or modify the platform
- Share your account credentials or allow unauthorised persons to access the service
- Use automated scripts, bots, or scrapers to access the service
- Attempt to bypass security measures, including rate limiting, encryption, or access controls
- Upload malicious files, malware, or content that could compromise the platform
7. Client Data
You (the firm) are the data controller for your clients' personal data. CA Practice acts as a data processor on your behalf. You must ensure that you have obtained proper consent or have a lawful basis to collect and process your clients' sensitive personal data (including PAN, Aadhaar number, and bank account details) before entering it into the platform.
CA Practice encrypts sensitive client data using hardware-grade encryption before storage. However, we do not verify the accuracy or legality of the data you enter.
8. Intellectual Property
CA Practice and its licensors own all rights, title, and interest in the platform, including software, design, trademarks, and documentation. Your use of the service does not grant you any ownership rights in the platform.
You retain all ownership rights in the data you upload to CA Practice. We claim no intellectual property rights over your client data, documents, or firm information.
9. Fees and Payment
CA Practice currently offers a free tier (up to 10 clients) and paid plans. Pricing is published on our website and may change with 30 days' notice. If you are on a paid plan, fees are billed in advance and are non-refundable except as required by applicable law.
We reserve the right to modify pricing for future billing periods. Material pricing changes will be communicated via email at least 30 days before taking effect.
10. Service Availability
We use commercially reasonable efforts to maintain the availability of CA Practice. However, we do not guarantee uninterrupted or error-free service. The platform may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.
We will make reasonable efforts to notify users of planned maintenance in advance. We are not liable for any losses arising from service interruptions or downtime.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CA PRACTICE AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Missed filing deadlines, tax penalties, or compliance failures — CA Practice is a workflow tool, not a compliance guarantee
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of data beyond what is recoverable from our backup systems
- Loss of profits, revenue, or business opportunities
- Damages arising from unauthorised access to your account due to your failure to protect your credentials
Our total aggregate liability for any claims arising from or related to these Terms or the service shall not exceed the amount you paid to CA Practice in the twelve (12) months preceding the claim, or ₹10,000 (Indian Rupees Ten Thousand), whichever is greater.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the service will meet your requirements, be accurate, complete, or timely, or that it will be free from errors or security vulnerabilities.
13. Indemnification
You agree to indemnify, defend, and hold harmless CA Practice, its directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the service or violation of these Terms
- Your violation of any applicable law or regulation, including data protection laws
- Any claim by a third party (including your clients) arising from data you entered or processed using CA Practice
- Your failure to obtain proper consent from your clients
14. Termination
You may terminate your account at any time by contacting support@capractice.in. CA Practice may suspend or terminate your account if you breach these Terms, engage in prohibited conduct, or fail to pay applicable fees.
Upon termination, you may request an export of your data within 30 days. After 30 days, your data will be permanently deleted, except for audit logs which are retained as required by law (see Privacy Policy).
15. Data Export and Deletion
You may request a copy of your firm's data at any time. Upon account termination, we will provide a data export upon request within 30 days. Deletion of data is governed by our Privacy Policy and applicable legal retention requirements.
Audit logs are retained for 7 years as required by Indian regulatory requirements and cannot be deleted during this period.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India for any disputes arising under these Terms.
17. Dispute Resolution
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the dispute to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Mumbai, Maharashtra. The language of arbitration shall be English.
18. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email to the address associated with your account at least 30 days before they take effect. The "Last updated" date at the top of this page will be revised accordingly.
Your continued use of the service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the service and terminate your account.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
20. Force Majeure
CA Practice shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power outages, internet disruptions, or third-party service failures.
21. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and CA Practice with respect to the use of the service. These Terms supersede all prior agreements, understandings, and communications, whether written or oral.
